Arm Aims for $52 Billion Valuation in U.S. IPO – What You Need to Know

Arm Targets $52 Billion Valuation in Major US IPO

In a big move, chip design company Arm is gearing up for a major stock market debut on the New York Stock Exchange (NYSE). The company is aiming for a valuation between $47 billion and $51 billion. Arm recently filed updated documents with the U.S. Securities and Exchange Commission outlining its IPO plans, which could raise approximately $4.87 billion.

Arm, a British company once listed in both London and New York, has had an eventful history, including SoftBank’s $32 billion acquisition of the company in 2016. Now, Arm is preparing to become a publicly traded company in the United States once again.

How the Listing Will Work

As part of this shift, Arm now qualifies as a foreign private issuer in the US, meaning its shares will be structured as American depositary shares.

The company plans to list 95.5 million ADSs at a price range of $47 to $51 per share. If pricing lands at the higher end, the offering could bring in $4.87 billion in new capital. Even at the lower end of that range, the IPO would still raise an impressive $4.49 billion.

Going public in New York will give Arm access to a much larger pool of institutional funding, which the company plans to invest into research and development, with a particular focus on expanding in the fast growing field of artificial intelligence through innovative chip design.

If Arm hits the higher end of its price range, the company could reach a total valuation of $52 billion, according to CNBC’s estimates. Even at the lower end, valuation would still land just below $50 billion.

SoftBank Retains Firm Control

However, it’s worth noting that only 9.4 percent of Arm’s shares will trade freely on the NYSE, with SoftBank retaining approximately 90.6 percent ownership following the IPO.

Additionally, the underwriters for the offering have the option to purchase up to 7 million additional American depositary shares, valued at $735 million. Should they exercise that option, SoftBank’s ownership stake would decrease slightly to 89.9 percent, according to the company’s statement.

Why This Structure Matters for Investors

This heavily concentrated ownership structure is worth understanding for anyone following the listing closely. With SoftBank retaining such an overwhelming majority stake, public shareholders will have relatively limited influence over Arm’s strategic direction post-IPO, a dynamic that sets this offering apart from IPOs where founders or early investors distribute ownership more broadly among public shareholders.

Arm’s journey toward its major US IPO marks a crucial moment for the chip design company, representing a significant opportunity to secure funding for future growth and innovation within the rapidly evolving world of technology.
